These Terms govern your use of Tesni at https://app.tubbycode.com.au, our marketing site at https://tubbycode.com.au, and related services (together, Tesni).

By creating an account, signing in, or otherwise accessing or using Tesni, you accept these Terms. If you do not agree, do not use Tesni.

We may update these Terms from time to time by posting the revised version on this page with a new effective date (see section 17). Continued use after that date means you accept the updated Terms. We may also notify you in-app or by email for changes we consider material.

Our Privacy Policy explains how we handle personal information. Our Open banking notice and Cookies and tracking notice form part of these Terms to the extent they describe how Tesni works.


1. Who may use Tesni

  • You must be an adult (18 years or older) and able to enter a binding contract.
  • Tesni is for households of up to two adults. It is not a children’s product.
  • You must provide accurate account details and keep them up to date.

2. What Tesni is (and is not)

Tesni is a consumer family budgeting tool. It helps adults organise household money information, including bank-connected data (via Basiq), uploads, categories, and optional AI chat.

Tesni is not:

  • A bank or authorised deposit-taking institution.
  • A holder of your deposits or funds.
  • A provider of financial product advice under an Australian Financial Services Licence (AFSL).
  • A tax, legal, or credit adviser.
  • A CDR accredited data recipient (we use Basiq as an open-banking intermediary; we do not claim ADR status).

3. Not financial advice — read this

One-page tone (limitation and disclaimer):

Tesni shows information and tools so you can organise your own budget. Any categories, summaries, balances, suggestions, or AI chat replies are general information and automation only. They are not personal financial product advice, recommendations to buy, sell, or hold any product, or advice tailored to your objectives, financial situation, or needs.

You remain responsible for your banking, spending, and financial decisions. Check important numbers against your bank and professional advisers. Do not rely on Tesni as a substitute for a licensed adviser, accountant, or your financial institution.

To the extent permitted by law — and without excluding rights you have under the Australian Consumer Law — Tesni and Tubby Code Pty Ltd are not liable for decisions you make based on categories, AI output, sync delays, incomplete data, or display errors. AI and categorisation can be wrong. Bank data depends on third parties (including Basiq and your bank) and may be delayed, incomplete, or inaccurate.

If anything in Tesni conflicts with your bank’s records, treat your bank’s records as authoritative for account balances and posted transactions unless you confirm otherwise with your bank.


4. Your account and household

  • Keep your login credentials confidential.
  • You are responsible for activity under your account, except where we cause unauthorised access through our breach of these Terms.
  • Household features are limited to two adults. Do not invite or add minors.
  • You can leave a family/household using in-product controls where available.

5. Bank connections (Basiq)

  • Bank linking uses Basiq Consent. You must review and accept Basiq’s consent flow and any bank requirements.
  • We receive connection metadata, account masks/institution, posted transactions, and balances as enabled by that consent and our product.
  • Removing a bank connection deletes the Basiq connection and links, and clears balances if no remaining links apply. It does not delete stored bank account rows or imported transactions already in Tesni.
  • You can request further deletion via henry@laterletter.cool (see Privacy Policy). Full erasure may not yet be fully automated in-product.

6. Uploads and chat

  • You may upload statements/receipts and use per-adult AI chat where offered.
  • You can delete an upload or delete a chat thread where the product provides that control.
  • Do not upload unlawful, harmful, or infringing content, or content you are not allowed to share.
  • AI features may involve overseas processing (xAI / Grok). See the Privacy Policy.

7. Acceptable use

You may use Tesni only for your own household’s budgeting, in line with these Terms and the law. You must not, and must not allow or help anyone else to:

Security and integrity

  • Probe, scan, or test the vulnerability of Tesni or any connected system or network, or breach or circumvent any security or authentication measure (including rate limits and access controls), without our prior written permission.
  • Access, or attempt to access, any account, household, data, or system that you are not authorised to access.
  • Interfere with or disrupt Tesni or its infrastructure, including by overloading, flooding, denial-of-service, or introducing malware or harmful code.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, or prompts of Tesni, except to the extent the law expressly permits.
  • Use bots, scrapers, crawlers, or automated means to access, collect, or extract data from Tesni, except through normal product use or an interface we expressly provide.
  • Attempt to manipulate, jailbreak, or misuse AI features to produce unlawful, harmful, or infringing output, or to extract another person’s data.

Lawful and honest use

  • Use Tesni for any unlawful purpose, to launder money, evade tax, or to commit or conceal fraud.
  • Upload or share content that is unlawful, defamatory, infringing, malicious, or that you do not have the right to share.
  • Connect bank accounts, or upload documents, that you are not entitled to access or share.
  • Impersonate any person or misrepresent your relationship with any person or household.
  • Represent Tesni output as licensed financial, tax, or credit advice, or resell or commercially exploit Tesni or its output.
  • Create accounts for children or share adult-only access with minors as users.

Enforcement. We may investigate suspected breaches, remove content, limit features, and suspend or terminate access for serious or repeated breaches (see section 15). We may also report unlawful activity to law enforcement or regulators where appropriate.

Reporting misuse. If you become aware of a security vulnerability, unauthorised access, or misuse of Tesni, please tell us promptly at henry@laterletter.cool. Do not exploit the issue, access data that is not yours, or disclose it publicly before we have had a reasonable opportunity to respond. 8. Intellectual property

Ours. Tesni — including its software, source and object code, design, user interface, text, graphics, logos, the Tesni name and marks, the categorisation logic, prompts, and all other content and materials we make available (other than your content) — is owned by Tubby Code Pty Ltd or its licensors and is protected by copyright, trade mark, and other intellectual property laws in Australia and elsewhere. Nothing in these Terms transfers any of those rights to you. All rights not expressly granted are reserved.

Your licence. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use Tesni for your own household’s personal budgeting. You must not copy, modify, adapt, translate, create derivative works from, distribute, sell, sublicense, rent, publicly display, or commercially exploit any part of Tesni, or remove or alter any proprietary notice, except as these Terms or the law expressly allow.

Your content. You keep the rights you hold in the content you upload or create in Tesni (statements, receipts, notes, chat messages, and similar). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, analyse, display, and transmit that content — including to the service providers named in section 9 and for the AI features you use — solely to provide, secure, maintain, and improve Tesni for you. You confirm you have the rights and permissions needed to upload your content and grant this licence.

Feedback. If you send us suggestions or feedback, we may use them without obligation to you.

Infringement. If you believe content on Tesni infringes your rights, email henry@laterletter.cool with enough detail for us to identify the material and assess the claim.


9. Third-party services and links

Third-party services. Tesni relies on third parties, including AWS, Amazon Cognito, Basiq, and xAI (Grok). Stripe may be used for billing only if/when we enable paid plans — [STRIPE_STATUS: planned / not live].

Those services have their own terms and privacy policies, which apply to your use of them (for example, Basiq’s consent flow when you connect a bank). We are not responsible for third-party outages, consent UX owned by Basiq, or bank-side delays, except as required by non-excludable law.

Third-party links and content. Tesni and our marketing site may contain links to, or display content from, websites, apps, or services operated by others (for example, your bank, Basiq, Google Fonts on the marketing site, or resources referenced in AI chat). We provide these for convenience only. We do not own, control, endorse, or take responsibility for third-party sites, their content, products, services, availability, security, or privacy practices. Accessing a third-party site is at your own risk and subject to that site’s terms. A link does not mean we are affiliated with or recommend the operator. To the extent permitted by law, we are not liable for any loss arising from your use of, or reliance on, third-party sites or content.


10. Fees and billing

[IF NO BILLING YET:] Tesni may be offered without charge for now. We may introduce paid features later. If we do, we will update these Terms and present pricing before you pay.

[IF/WHEN STRIPE LIVE:] Fees, renewal, taxes, and refunds will be described at purchase. Payments are processed by Stripe. Chargebacks and payment failures may affect access.


11. Communications from us

We may send you service messages that are needed to operate Tesni — for example sign-in codes, security alerts, privacy notices, changes to these Terms, and replies to your requests. You cannot opt out of essential service messages while you hold an account.

We do not currently send marketing or promotional messages. If we ever do, we will comply with the Spam Act 2003 (Cth): we will only send commercial electronic messages with your consent, they will identify us as the sender, and each one will include a working unsubscribe option.


12. Availability and changes

We aim for reliable service but do not guarantee uninterrupted or error-free operation. Features may change. We may modify or discontinue parts of Tesni with reasonable notice where practicable.


13. Australian Consumer Law and limitation of liability

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law (ACL) or other law that cannot be excluded.

Where we are permitted to limit liability for failure to comply with a consumer guarantee relating to services (other than guarantees as to title etc. that cannot be limited), our liability is limited, at our option, to supplying the services again or paying the cost of having them supplied again.

Subject to the ACL and other non-excludable rights, to the maximum extent permitted by law:

  • Tesni and related materials are provided on an “as is” and “as available” basis.
  • We exclude warranties that are not express in these Terms or non-excludable by law.
  • We are not liable for indirect or consequential loss, loss of profits, loss of data (except to the extent we fail a non-excludable obligation), or business interruption.
  • Our aggregate liability arising out of or in connection with Tesni or these Terms is limited to [LIABILITY_CAP — e.g. AUD 100 / fees paid in prior 12 months / lawyer to set].

This section works together with section 3 (not financial advice).


14. Indemnity

You agree to indemnify Tubby Code Pty Ltd against claims, losses, and costs arising from your misuse of Tesni, your content, or your breach of these Terms, except to the extent caused by our negligence or breach of non-excludable law. [LAWYER TO TUNE]


15. Termination

You may stop using Tesni at any time. Use in-product controls where available, and contact henry@laterletter.cool for deletion requests beyond those controls.

We may suspend or end access if you breach these Terms, if required by law, or if we discontinue the service (with notice where reasonable).

Provisions that by their nature should survive — including sections 3 (not financial advice), 8 (intellectual property), 9 (third-party services and links), 13 (liability), 14 (indemnity), 16 (governing law), and 18 (general) — continue after termination.


16. Governing law

These Terms are governed by the laws of New South Wales, Australia. Courts of NSW may hear disputes, without preventing you from relying on consumer rights that apply where you live in Australia.


17. Changes to these Terms

We may update these Terms from time to time. We will post the new version on this page with a new effective date; the posted version is the current version. Continued use after the effective date means you accept the updated Terms, except where the law requires a different process for material changes. If you do not accept a change, stop using Tesni and, if you wish, ask us to close your account (see section 15). We may also notify you in-app or by email for changes we consider material.


18. General

Entire agreement. These Terms, together with the Privacy Policy, the Open banking notice, the Cookies and tracking notice, and any pricing or plan terms we present to you at purchase (if billing is enabled), make up the entire agreement between you and Tubby Code Pty Ltd about Tesni. They replace any earlier discussions, representations, or agreements about Tesni. Nothing in this clause limits liability for fraud or excludes rights under the Australian Consumer Law.

Severance. If any part of these Terms is invalid, void, or unenforceable in any jurisdiction, that part is read down to the extent needed to make it valid, or if that is not possible, severed. The rest of these Terms continues in full force and the validity or enforceability of that part in any other jurisdiction is not affected.

No waiver. If we do not exercise or enforce a right or provision of these Terms, or delay in doing so, that is not a waiver of that right or provision. A waiver is only effective if it is in writing and signed by us, and applies only to the specific instance it refers to. Any single or partial exercise of a right does not prevent a further exercise of that or any other right.

Assignment. You may not assign, transfer, or novate your rights or obligations under these Terms, or your account, to anyone else without our prior written consent. We may assign, transfer, or novate our rights and obligations under these Terms without your consent to a related body corporate, or to a successor in connection with a merger, acquisition, restructure, or sale of all or substantially all of the assets or business relating to Tesni, provided the assignee agrees to be bound by these Terms. We will post or send notice where practicable.

Relationship. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between you and us.

Notices. We may give you notices by posting in Tesni, by email to the address on your account, or by other reasonable means. You may give us notice by email to henry@laterletter.cool.

Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages at third-party providers, internet failures, and natural events, except to the extent the law does not allow us to exclude that liability.

Interpretation. In these Terms: headings are for convenience only and do not affect meaning; “including”, “for example”, and similar words are not words of limitation; the singular includes the plural and vice versa; “we”, “us”, “our”, and “Tesni” (when referring to the operator) mean Tubby Code Pty Ltd (ABN 32 653 747 329); “you” and “your” mean the adult using Tesni; a reference to a law includes any amendment or replacement of it; and no rule of construction applies to our disadvantage because we prepared these Terms. Where these Terms and another document forming part of the agreement conflict, these Terms prevail unless the other document expressly states otherwise.
